1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Centri AI ("Centri", "Company", "we", "us", or "our") governing your access to and use of the Centri AI platform, including our website, applications, and services (collectively, the "Service").
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Description of Service
Centri AI is an AI-powered meeting intelligence platform designed for product managers and teams. Our Service includes:
- Meeting Recording and Transcription: Automated recording and transcription of virtual meetings through our meeting bot integration
- AI-Powered Analysis: Automatic generation of meeting summaries, action items, decisions, and key takeaways
- Calendar Integration: Synchronization with Google Calendar to display and manage your meeting schedule
- Third-Party Integrations: Connections to services including Slack, GitHub, Jira, and ClickUp for contextual intelligence
- AI Assistant: Conversational AI interface to query your meeting data and connected integrations
- Codebase Intelligence: Analysis of connected GitHub repositories for engineering context
- Meeting Sharing: Ability to share meeting summaries and transcripts via secure links
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information. You may register using your Google account through our OAuth integration. You agree to update your information as necessary to keep it accurate and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Not share your account credentials with others
- Immediately notify us of any unauthorized use of your account
- Ensure you log out of your account at the end of each session on shared devices
- Not create multiple accounts for the purpose of circumventing usage limits or restrictions
3.3 Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
4. Subscription Plans and Payment
4.1 Subscription Tiers
We offer the following subscription tiers:
- Free: Limited features available for 7 days after account creation
- Pro - Individual: Full features for individual users at $25/month
- Team: Team features at $20/user/month with a minimum of 3 users
We reserve the right to modify our pricing and features at any time. Any price changes will take effect at the start of your next billing cycle following notice of the change.
4.2 Billing and Payment
Payment is processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law.
4.3 Free Trial
New users may be eligible for a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you before any charges are applied.
4.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.
4.5 Refunds
Subscription fees are generally non-refundable. However, we may offer refunds at our discretion in cases of service unavailability or other exceptional circumstances. To request a refund, please contact us at support@centriai.com.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Record meetings without the knowledge and consent of all participants where required by law
- Use the Service to violate any applicable laws, regulations, or third-party rights
- Upload, share, or store content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable use
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to send spam, unsolicited messages, or malware
- Resell, sublicense, or redistribute the Service without our written permission
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the Service in any manner that could damage, disable, or impair the Service
6. Meeting Recording and Consent
6.1 Your Responsibility for Consent
When you use our meeting recording features, YOU are solely responsible for:
- Obtaining all necessary consents from meeting participants before recording
- Complying with all applicable laws regarding recording conversations, including federal, state, and international laws
- Informing participants that a recording is taking place
- Understanding and following any internal policies of your organization regarding meeting recordings
6.2 Bot Disclosure
When our meeting bot joins a meeting, it identifies itself as "Centri AI" to notify participants of its presence. However, this notification does not constitute legal consent, and you remain responsible for ensuring proper consent is obtained.
6.3 Recording Laws Vary by Jurisdiction
Recording laws vary significantly by jurisdiction. Some jurisdictions require all-party consent while others require only one-party consent. International meetings may be subject to multiple jurisdictions. We strongly recommend you consult with legal counsel to understand your obligations.
7. User Content and Data
7.1 Your Content
"User Content" means any content you upload, submit, or create through the Service, including meeting recordings, notes, and data from connected integrations. You retain all ownership rights in your User Content.
7.2 License to Centri
By uploading or creating User Content, you grant Centri a non-exclusive, worldwide, royalty-free license to use, copy, process, and display your User Content solely for the purpose of providing and improving the Service. This license includes the right to:
- Transcribe and analyze your meeting recordings
- Generate AI summaries, action items, and insights
- Store and back up your data
- Display your content to users you authorize (such as through shared meeting links)
7.3 Representations About Your Content
You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not infringe any third-party rights
- Your User Content complies with all applicable laws
- You have obtained all necessary consents for any personal information included in your User Content
7.4 Content Removal
We reserve the right to remove any User Content that violates these Terms or that we believe may create liability for us. We will make reasonable efforts to notify you before removing content, except where prohibited by law or where immediate removal is necessary.
8. Third-Party Integrations
8.1 Connecting Third-Party Services
The Service allows you to connect third-party services including Google Calendar, Slack, GitHub, Jira, and ClickUp. When you connect these services:
- You authorize us to access data from those services on your behalf
- You must comply with the terms of service of those third-party services
- You represent that you have the authority to grant us access to those services
8.2 Third-Party Terms
Your use of third-party integrations is subject to those services' respective terms and privacy policies. We are not responsible for the practices of third-party services or any content or data accessed through them.
8.3 Integration Changes
Third-party services may change their APIs or terms at any time, which may affect integration functionality. We are not liable for any disruption to the Service caused by changes to third-party services.
9. Intellectual Property Rights
9.1 Centri's Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Centri AI and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written permission.
9.2 AI-Generated Content
Content generated by our AI features (summaries, action items, etc.) based on your User Content is considered part of the Service provided to you. You may use this generated content for your personal and business purposes, subject to these Terms.
9.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
10. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.
11. Disclaimers
11.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.
11.2 AI Accuracy
While we strive for accuracy, our AI-generated content (including transcriptions, summaries, and analysis) may contain errors or inaccuracies. You should review and verify AI-generated content before relying on it for important decisions. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content.
11.3 No Professional Advice
The Service is not intended to provide legal, financial, medical, or other professional advice. AI-generated insights and recommendations should not be treated as professional advice. Always consult qualified professionals for important decisions.
11.4 Service Availability
We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may suspend or discontinue the Service or any features at any time without notice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CENTRI AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
- ANY CONTENT OBTAINED FROM THE SERVICE
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
- ERRORS OR INACCURACIES IN AI-GENERATED CONTENT
- ANY INTERRUPTION OR CESSATION OF THE SERVICE
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to defend, indemnify, and hold harmless Centri AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your User Content
- Your violation of any third-party rights, including recording consent requirements
- Your violation of any applicable laws
- Any claims by third parties related to meetings you recorded using the Service
14. Termination
14.1 Termination by You
You may terminate your account at any time by canceling your subscription and deleting your account through your settings or by contacting us.
14.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
14.3 Effect of Termination
Upon termination:
- Your access to the Service will be disabled
- Your User Content may be deleted after a 30-day grace period
- Any shared meeting links you created will become inaccessible
- Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also send you an email notification.
Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, either party may initiate binding arbitration in accordance with the rules of the American Arbitration Association.
16.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Centri AI regarding the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or internet or infrastructure failures.
